Praxly Terms and Conditions

Praxly is an educational and training platform intended solely for simulated learning, revision, OSCE practice, communication skills practice, and educational feedback.

Praxly is designed for medical students, healthcare students, doctors in training, and other healthcare trainees. It may use artificial intelligence and other digital tools to support educational practice and feedback.

Praxly is not a healthcare provider, clinical service, medical device, diagnostic tool, treatment tool, prescribing tool, triage service, clinical decision support system, or patient management system.

You must not use Praxly for real-world clinical decision-making, diagnosis, treatment, prescribing, triage, patient management, or emergency medical purposes.

You must be at least 18 years old to use Praxly.

By using Praxly, you confirm that you are at least 18 years old; you have the legal capacity to enter into these Terms; any information you provide to Praxly is accurate and up to date; and you will use Praxly only for lawful, educational, and training purposes.

Some parts of Praxly may require you to create an account.

You are responsible for maintaining the confidentiality and security of your login details. You must not share your account with another person or allow anyone else to access the Service using your account.

You must notify Praxly promptly if you believe your account has been compromised or used without authorisation.

Praxly may suspend, restrict, or terminate your account if we reasonably believe that you have breached these Terms, misused the Service, created risk to the platform or other users, or acted unlawfully.

Praxly is provided for educational and training purposes only.

You acknowledge and agree that Praxly does not provide medical advice; Praxly does not provide clinical advice; Praxly does not diagnose, treat, prescribe, triage, or manage patients; Praxly must not be used as a substitute for professional supervision, clinical judgement, university teaching, clinical placement experience, or formal assessment; Praxly must not be relied upon in any real patient care context; and any educational feedback provided by Praxly should be interpreted critically and checked against appropriate teaching, guidance, and professional standards.

If you are unsure about a real clinical situation, you must seek appropriate supervision from a qualified healthcare professional through the appropriate clinical or educational channels.

Praxly may use artificial intelligence systems to generate simulated scenarios, educational feedback, suggested improvements, explanations, scores, or other learning support.

AI-generated content may be inaccurate, incomplete, outdated, misleading, inappropriate, or not applicable to your circumstances. AI outputs may also fail to reflect current guidance, local policies, assessment expectations, or professional standards.

You are responsible for reviewing and verifying any AI-generated content before relying on it for educational purposes.

You must not rely on AI-generated content from Praxly for any real-world clinical decision, diagnosis, treatment, prescribing decision, triage decision, patient communication, or patient management activity.

Praxly does not guarantee that AI-generated content will be correct, comprehensive, current, safe, or suitable for any particular educational or professional purpose.

Praxly is intended to support learning and practice, but it does not guarantee any particular outcome.

Praxly does not guarantee success in examinations; success in OSCEs; clinical competence; professional competence; progression through a course or training programme; placement outcomes; employment outcomes; registration outcomes; or any specific academic, educational, professional, or clinical performance result.

You remain responsible for your own learning, revision, professional development, and use of appropriate educational resources.

You may be able to submit, upload, record, enter, or otherwise provide content to Praxly, including text responses, educational submissions, AI conversations, feedback, notes, or other materials (“User Content”).

At launch, Praxly is intended to support text-based educational interactions only. Audio, video, or other upload features may be introduced in future.

You are responsible for your User Content and for ensuring that it complies with these Terms and applicable law.

You retain ownership of your User Content. However, by submitting User Content to Praxly, you grant Praxly a limited, non-exclusive, worldwide, royalty-free licence to use, host, store, process, reproduce, adapt, analyse, transmit, and display your User Content solely as reasonably necessary to provide the Service; generate educational feedback; operate and maintain the platform; respond to support requests; maintain safety and security; detect and prevent misuse; comply with legal obligations; improve the quality and functionality of Praxly; and create anonymised, aggregated, or de-identified analytics.

This licence ends when your User Content is deleted from the Service, except where continued retention is reasonably necessary for legal, security, backup, audit, or legitimate operational purposes.

You must not upload, enter, submit, record, share, or otherwise provide any identifiable patient information or confidential clinical material to Praxly.

This includes, but is not limited to: patient names; NHS numbers; hospital numbers; dates of birth; addresses; telephone numbers; email addresses; identifiable clinical images; identifiable audio or video recordings; discharge summaries; clinic letters; referral letters; investigation reports; prescriptions; screenshots from clinical systems; or any other information that could identify a real patient.

Praxly is intended for simulated and educational content only. You must ensure that any clinical scenarios, histories, cases, or examples you submit are fictional, anonymised, or sufficiently altered so that no real person can be identified.

If Praxly becomes aware that User Content may contain identifiable patient information or confidential clinical material, Praxly may remove the content, restrict your account, suspend your access, terminate your account, or take any other action we consider reasonably necessary.

Praxly does not intentionally request real patient health information or other special category data.

However, because Praxly is used for simulated healthcare education, users may voluntarily disclose sensitive information within educational interactions. This could include information relating to health, disability, ethnicity, religion, sex life, sexual orientation, or other protected characteristics.

You should avoid submitting sensitive personal information unless it is necessary for your use of the Service and you are comfortable doing so.

Where Praxly processes sensitive information, it will do so only as reasonably necessary to provide the Service, maintain safety and security, comply with law, respond to support requests, investigate misuse, or operate and improve the platform.

You must use Praxly responsibly, lawfully, and professionally.

You must not use Praxly for real-world diagnosis, treatment, prescribing, triage, clinical decision-making, or patient management; upload identifiable patient information or confidential clinical material; upload content that breaches confidentiality, privacy, intellectual property rights, or professional obligations; copy, scrape, reproduce, or misuse Praxly content or platform features; attempt to reverse engineer, interfere with, disrupt, overload, or compromise the Service; attempt to gain unauthorised access to accounts, systems, data, or infrastructure; upload malware, harmful code, or malicious content; use Praxly to generate unlawful, abusive, discriminatory, harassing, misleading, or harmful content; impersonate another person or misrepresent your identity; use Praxly to cheat in live examinations, assessments, or selection processes where such use is prohibited; use Praxly in a way that breaches your university, employer, placement provider, professional body, or regulator’s rules; or use Praxly for any unlawful, unsafe, or unauthorised purpose.

Praxly may investigate suspected breaches of this section and may remove content, suspend access, terminate accounts, or report matters to appropriate authorities where necessary.

Praxly and its licensors own all rights, title, and interest in and to the Service, including the Praxly name and branding; logos and visual identity; website and application design; source code and software; user interface and user experience design; original educational content; simulated cases; rubrics; prompts; workflows; databases; feedback systems; proprietary methods; and all related intellectual property.

Except as expressly permitted by these Terms, you must not copy, reproduce, distribute, modify, sell, license, publish, reverse engineer, or create derivative works from any part of Praxly without prior written permission.

You may use Praxly content for your own personal educational and revision purposes only, unless Praxly expressly agrees otherwise in writing.

Praxly may use third-party service providers to operate, host, secure, analyse, or improve the Service. This may include cloud hosting providers, authentication providers, analytics providers, payment providers, and artificial intelligence providers.

Praxly uses the OpenAI API to support certain AI-powered features.

Your use of Praxly may involve processing by third-party providers as described in the Privacy Policy.

Praxly is not responsible for third-party websites, services, content, or terms that are not controlled by Praxly.

Praxly will not knowingly use your identifiable User Content to train external third-party AI models unless this is clearly disclosed to you or you have provided consent where required.

Praxly may use anonymised, aggregated, or de-identified information to improve platform functionality; improve educational quality; improve safety and reliability; understand usage patterns; evaluate platform effectiveness; develop new features; and support internal research and development.

Praxly will not publicly disclose identifiable personal educational performance data without your explicit consent, unless required by law.

Praxly will process personal data in accordance with its Privacy Policy.

The Privacy Policy explains what personal data Praxly collects, how it is used, the lawful bases for processing, how long data is retained, who it may be shared with, and what rights users have.

By using Praxly, you acknowledge that Praxly will process personal data as described in the Privacy Policy.

If you wish to request access to your personal data, correction of your personal data, deletion of your account, or deletion of your data, please contact privacy@praxly.co.uk.

Praxly may use cookies and similar technologies.

Essential cookies may be used to provide core functionality, authentication, security, and account access. Optional analytics or non-essential cookies may be used where permitted and, where required, with appropriate consent.

Praxly is provided on an “as available” basis.

Praxly may modify, suspend, withdraw, update, replace, restrict, or discontinue any part of the Service at any time. This may include changes to features, content, AI systems, pricing, access rules, or technical infrastructure.

Praxly does not guarantee that the Service will be uninterrupted, error-free, secure, available at any particular time, compatible with every device, or free from bugs or defects.

Praxly may perform maintenance, updates, or security work that temporarily affects access to the Service.

Praxly may introduce paid subscriptions, paid features, institutional licences, or other commercial offerings in future.

If paid services are introduced, Praxly will provide the applicable payment, renewal, cancellation, refund, access, and subscription terms before you purchase any paid service. Those terms will explain any relevant charges, billing periods, renewal arrangements, cancellation rights, and how paid access may be ended.

Unless and until paid services are introduced, no payment terms apply.

Nothing in these Terms affects any statutory rights you may have as a consumer.

You may request deletion of your account or personal data by contacting privacy@praxly.co.uk.

Praxly will respond to such requests in accordance with applicable data protection law and the Privacy Policy.

Some data may need to be retained for limited periods where reasonably necessary for legal compliance, security, fraud prevention, dispute resolution, backups, audit, or legitimate operational purposes.

Praxly may suspend, restrict, or terminate your access to the Service at any time if you breach these Terms; you misuse the Service; you upload prohibited content; you create risk for Praxly, other users, or third parties; you breach applicable law or professional obligations; continued access may expose Praxly to legal, regulatory, technical, or security risk; or Praxly decides to discontinue the Service or any part of it.

You may stop using Praxly at any time. You may request account deletion by contacting privacy@praxly.co.uk.

Sections of these Terms that by their nature should continue after termination will continue to apply, including sections relating to intellectual property, liability, privacy, governing law, and dispute resolution.

Praxly is provided for educational purposes only.

Nothing in these Terms affects any statutory rights you may have as a consumer.

To the fullest extent permitted by law, Praxly is provided without warranties, representations, guarantees, or conditions of any kind, whether express or implied.

Praxly does not warrant or represent that the Service will meet your requirements; the Service will be accurate, complete, current, reliable, uninterrupted, secure, or error-free; AI-generated content will be correct, appropriate, safe, or suitable; educational feedback will match university, examiner, professional, or regulatory expectations; use of Praxly will improve your performance; or use of Praxly will result in any specific educational, academic, clinical, or professional outcome.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

Subject to the above, Praxly will not be liable for clinical decisions or actions taken in reliance on Praxly; use of Praxly in real-world patient care; examination failure or unsatisfactory educational outcomes; loss of profits, revenue, business, goodwill, opportunity, or anticipated savings; loss or corruption of data; indirect, consequential, special, or exemplary losses; unauthorised access caused by your failure to keep account details secure; third-party services or external websites; or losses arising from misuse of the Service or breach of these Terms.

Praxly’s total liability to you for all claims arising out of or relating to the Service or these Terms will be limited to the greater of the amount you paid to Praxly in the 12 months before the claim arose or £100.

This limitation applies to the fullest extent permitted by law.

You are responsible for ensuring that your use of Praxly complies with any rules, policies, codes, or guidance that apply to you, including those issued by your university, medical school, employer, placement provider, professional body, regulator, or examination provider.

Praxly is not responsible if your use of the Service breaches any such rules or requirements.

If you provide Praxly with suggestions, comments, ideas, improvements, bug reports, or other feedback, you agree that Praxly may use that feedback without restriction or payment to you.

You acknowledge that Praxly may use feedback to improve the Service, develop new features, or modify existing features.

Praxly may update these Terms from time to time.

If changes are material, Praxly will take reasonable steps to notify users, such as by posting an updated version on the website, showing an in-platform notice, or sending an email where appropriate.

Your continued use of Praxly after updated Terms become effective means that you accept the updated Terms.

If you do not agree to updated Terms, you must stop using Praxly.

Praxly may in future be transferred to, operated by, or assigned to Praxly Ltd or another legal entity.

You agree that Praxly may transfer its rights and obligations under these Terms to a company or other legal entity as part of incorporation, restructuring, sale, investment, merger, acquisition, or business transfer.

Where required, Praxly will update these Terms and related policies to reflect the relevant operator.

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over disputes arising from or relating to these Terms or the Service, except where applicable consumer law gives you the right to bring proceedings elsewhere.

If you have a complaint, please contact Praxly using the email address above and include a clear description of the issue. Praxly will aim to review and respond within a reasonable period. This does not affect any legal rights or remedies you may have.

When using Praxly, you must use the Service for education and training only; not use Praxly for diagnosis, treatment, prescribing, triage, clinical decision-making, or patient management; not upload identifiable patient information or confidential clinical material; critically assess and verify AI-generated content; comply with your university, professional, institutional, and legal obligations; keep your account secure; respect Praxly’s intellectual property; and use the Service responsibly, lawfully, and professionally.
